By creating an account, signing in, or otherwise using GoalPlate (the "app", "Service"), you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not use the Service.

GoalPlate is operated by Eric Vicente Zepeda Juarez, operating as GoalPlate (a sole proprietor; not yet incorporated) ("we", "us", "our"). You can reach us at support@goalplate.app.

All recipes, meal plans, coaching tips, calorie estimates, cost estimates, and sustainability scores produced by GoalPlate are generated by AI models. You acknowledge and agree that:

7. Allergen and ingredient warning

It is your responsibility to verify the ingredients of any recipe before consuming or serving it.

The AI may incorrectly label a recipe as conforming to a dietary filter you have set (for example, generating a "dairy-free" recipe that actually contains a dairy ingredient). The app will surface a warning when our automated cross-check catches such a conflict, but the cross-check is best-effort and does not catch every case. GoalPlate is not liable for allergic reactions or any other adverse health effect resulting from consuming a recipe generated, suggested, or shared through the Service.

If you have a known severe allergy, do not rely solely on AI-generated recipes.

8. Medical and fitness disclaimer

GoalPlate does not provide medical, nutritional, dietary, or fitness advice.

GoalPlate offers paid subscription tiers ("Starter", "Premium", with "Chef" planned for the future). Pricing and features are described in the in-app Paywall.

You retain all rights you have in the prompts, recipes, meal plans, and other content you create through GoalPlate ("Your Content"). By making a recipe public (publishing to the community catalogue), you grant us and other users a non-exclusive, worldwide, royalty-free license to display, distribute, and adapt that content for the purpose of operating the Service.

You represent that Your Content does not infringe on any third party's rights and complies with these Terms.

12. Our intellectual property

The GoalPlate name, logo, app design, code, and brand assets are owned by us. Nothing in these Terms transfers any of those rights to you.

The AI models GoalPlate uses are licensed from third parties; their outputs are subject to those third parties' terms in addition to ours.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF VIRUSES, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SAFE TO RELY ON.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the warranties we exclude are limited to the maximum extent permitted by law.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR:

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow these limits; in those jurisdictions, our liability is limited to the maximum extent permitted.

16. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and reasonable expenses (including attorneys' fees) arising from (a) your breach of these Terms, (b) your misuse of the Service, or (c) Your Content.

17. Dispute resolution

You and we agree to resolve any dispute arising out of or relating to these Terms or the Service through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, seated in Phoenix, Arizona, USA. Arbitration may be conducted remotely (by video or telephone) at the request of either party.

Arbitration will be on an individual basis onlyYOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR CLASS-WIDE ARBITRATION.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@goalplate.app with the subject line "Arbitration opt-out". If you opt out, disputes between you and us will be resolved in the state or federal courts located in Maricopa County, Arizona (see section 18).

Either party may bring an individual claim in small-claims court in their state or county of residence. Either party may also seek injunctive or equitable relief in court to prevent infringement of intellectual-property rights or unauthorized use of the Service.

This section does not apply where mandatory consumer-protection laws of your jurisdiction (for example EU/EEA or UK) prohibit pre-dispute arbitration agreements with consumers; in those cases section 18 applies.

18. Governing law

These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-law rules. Subject to section 17 (mandatory arbitration), the state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction over any dispute that is not subject to arbitration. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If you live in the EU, UK, or another jurisdiction whose mandatory consumer-protection laws override the law chosen above, those mandatory laws apply to you despite this section.

19. Changes to these Terms

When we change these Terms materially, we will:

  1. Post the new version at the same URL with an updated "Last updated" date
  2. Bump the Terms version (current: 1.0)
  3. Re-prompt you for consent the next time you open the app

For minor edits (typo fixes, clarifications), we update the document without re-prompting. Continued use of the Service after a non-material change means you accept it.
